Yes and No. Are you keeping it fuel injected or converting to carb and dizzy ?

The 4.6 block and heads are virtually the same, so it will bolt in and the exhust manifolds will bolt up. The sump will probably not fit so will have to be changed, which means the front cover also will need changing. If you want to run carbs and dizzy you will need to change the front cover anyway, also the cam as the 4.6 cam wont drive the dizzy. You need a spacer behind the front pulley bolt or it wont lock up on the pulley due to the longer crank snout.

Shouldnt be that hard, but I would have thought a 3.9 would be a better option.
